Terms of Service

Happy Hour Hero is a discovery and promotional platform that helps users find happy hours, food and drink specials, venue information, promotions, and other offers.

We may also provide tools that allow venues and businesses to submit or manage listings, promote specials, create time-sensitive offers, or communicate with users.

Happy Hour Hero is not a restaurant, bar, alcohol retailer, alcohol delivery service, reservation provider, or payment processor for venue purchases.

Unless expressly stated otherwise, any transaction for food, alcohol, admission, or services at a venue is between you and that venue.

You may use the general informational portions of the Services only if doing so is lawful where you live.

The Services are not directed to children under 13.

If you use Happy Hour Hero to locate, purchase, redeem, or participate in an offer involving alcohol, you must be of legal drinking age in the jurisdiction where the transaction or consumption occurs.

A venue may require valid government-issued identification and may refuse service.

Happy Hour Hero does not determine whether a user is legally permitted to purchase or consume alcohol.

Happy-hour schedules, menu items, prices, availability, restrictions, and promotions can change without notice.

Although we work to provide useful and accurate information, Happy Hour Hero does not guarantee that:

• a listing is current;
• a venue is open;
• a promotion is still available;
• a stated price is accurate;
• a particular item is in stock;
• a venue will honor information submitted by a third party;
• a venue will admit or serve a particular customer; or
• every restriction, tax, service charge, gratuity, blackout period, or condition appears in a listing.

Users should confirm important details directly with the venue when necessary.

If you find incorrect information, you may report it to support@happyhourhero.co.

Happy Hour Hero may display time-sensitive promotions, including "Flash Deals."

Unless Happy Hour Hero explicitly states otherwise:

• the venue, not Happy Hour Hero, is the seller or provider of the underlying food, beverage, admission, or service;
• the venue determines inventory, eligibility, availability, and fulfillment;
• promotions may have quantity limits, time limits, geographic restrictions, or other conditions;
• offers may end or sell out before a displayed expiration time; and
• users remain responsible for complying with venue rules and applicable law.

Happy Hour Hero may remove, suspend, correct, or cancel a listing or promotion that appears fraudulent, erroneous, unlawful, expired, or misleading.

Some features may require an account.

You agree to provide accurate information and to keep account credentials confidential.

You are responsible for activity performed through your account unless caused by our failure to use reasonable security measures.

You may not impersonate another person or business, create accounts using false information, or access another user's account without authorization.

We may suspend or terminate accounts used for fraud, abuse, unauthorized access, spam, unlawful conduct, or material violations of these Terms.

If you create, claim, or manage a venue or business listing, you represent that:

• you are authorized to act for that venue or business;
• information you submit is accurate to the best of your knowledge;
• you have the necessary rights to submit logos, photographs, menus, trademarks, descriptions, and promotional materials;
• your promotions comply with applicable advertising, alcohol, licensing, consumer-protection, pricing, and other laws;
• you will honor valid promotions you publish through the Services subject to clearly disclosed restrictions; and
• you will promptly correct materially inaccurate or expired information.

Happy Hour Hero may request verification before granting or continuing control of a business listing.

We may edit formatting, correct obvious errors, reject submissions, suspend listings, or remove content that violates these Terms or creates a legal, security, or consumer-protection concern.

You retain ownership of content you own and submit to Happy Hour Hero.

By submitting content for publication, you grant Happy Hour Hero a worldwide, non-exclusive, royalty-free license to host, store, reproduce, format, adapt, display, distribute, and use that content as reasonably necessary to operate, market, and promote the Services and the applicable venue or promotion.

This license continues for as long as the content is used in connection with the Services, subject to applicable law.

You represent that you have the rights necessary to grant this license.

Do not submit content that:

• infringes another person's intellectual-property or privacy rights;
• is fraudulent or intentionally misleading;
• is unlawful;
• contains malware or malicious code;
• impersonates another person or business; or
• is submitted without appropriate authority.

The Happy Hour Hero name, logo, branding, website design, software, databases, graphics, compilation of listings, and original content are owned by Happy Hour Hero LLC or its licensors and are protected by applicable intellectual-property laws.

These Terms do not transfer ownership of Happy Hour Hero intellectual property to you.

You may use the Services for their intended purposes but may not copy, reproduce, sell, reverse engineer, scrape at scale, circumvent access controls, or commercially exploit protected portions of the Services except as permitted by law or with our written permission.

Certain business or consumer features may require payment.

Prices, billing intervals, included features, trial periods, and cancellation terms will be disclosed at or before purchase.

Payments may be processed by a third-party payment processor.

You authorize the applicable processor to charge the payment method you provide for purchases or recurring subscriptions you approve.

Unless otherwise stated at purchase or required by law, fees already earned for a completed billing period are non-refundable.

We may change future pricing or subscription features by providing notice required by applicable law.

You may not:

• use the Services for unlawful purposes;
• interfere with the operation or security of the Services;
• attempt unauthorized access to accounts, systems, or data;
• submit fraudulent venues, promotions, reviews, or claims;
• use automated systems in a manner that materially burdens or disrupts the Services;
• bypass security or rate limits;
• transmit malware;
• harvest personal information unlawfully;
• falsely imply endorsement by Happy Hour Hero; or
• use the Services to facilitate unlawful alcohol sales or other unlawful transactions.

Happy Hour Hero may link to or integrate with third-party services, including maps, venue websites, reservation services, social media, forms, payments, and other platforms.

Those services are controlled by third parties and are subject to their own terms and privacy practices.

Happy Hour Hero is not responsible for the content, availability, security, or conduct of third-party services.

Happy Hour Hero does not provide transportation, security, medical advice, or emergency services.

Users are responsible for making safe transportation decisions and for complying with alcohol-consumption laws.

Never drive while impaired.

In an emergency, contact the appropriate local emergency service.

We may modify, suspend, discontinue, test, limit, or replace features at any time.

We do not guarantee that the Services will be uninterrupted, error-free, or available in every city or country.

Listings may be added or removed as our coverage changes.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

HAPPY HOUR HERO DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THE CONDUCT, QUALITY, SAFETY, LICENSING, PRODUCTS, SERVICES, PRICING, OR PROMOTIONS OF ANY VENUE OR THIRD PARTY.

Nothing in these Terms excludes a warranty or right that cannot legally be excluded.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAPPY HOUR HERO LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION ARISING FROM OR RELATED TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAPPY HOUR HERO'S TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:

(A) THE AMOUNT YOU PAID DIRECTLY TO HAPPY HOUR HERO DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR

(B) US $100.

These limitations do not apply where prohibited by law.

To the extent permitted by law, if you use the Services on behalf of a business or submit business content or promotions, you agree to defend, indemnify, and hold harmless Happy Hour Hero LLC and its officers, directors, employees, contractors, affiliates, and agents from third-party claims, damages, liabilities, losses, and reasonable costs arising from:

• content you submit;
• promotions you create;
• your violation of applicable law;
• your violation of these Terms; or
• your infringement of another person's rights.

This section does not require a consumer to indemnify Happy Hour Hero for Happy Hour Hero's own unlawful conduct.

We may restrict, suspend, or terminate access to the Services when reasonably necessary to protect users, venues, Happy Hour Hero, or third parties, including for fraud, security threats, legal requirements, abuse, or material violations of these Terms.

You may stop using the Services at any time.

Provisions that by their nature should survive termination will continue to apply.

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except to the extent another law must apply.

Subject to any consumer right that cannot legally be waived, disputes arising from these Terms or the Services will be brought in a state or federal court with appropriate jurisdiction in Florida.

We may update these Terms as the Services change.

If a change is material, we will provide notice when required by law.

The updated effective date will appear at the top of this page.

Your continued use of the Services after revised Terms become effective constitutes acceptance to the extent permitted by law.
